Terms of service

Clear expectations for dependable inventory work.

These terms govern access to OnHandly. By creating an account or using a workspace, you agree to them on behalf of yourself and, when applicable, your organization.

The service

OnHandly is operated by WatchGrid LLC and provides cloud-based inventory tools, including item and barcode management, locations, receiving, usage, transfers, cycle counts, shortage reporting, and related web and mobile features.

OnHandly is an operational recordkeeping tool. It does not replace physical verification, accounting controls, tax advice, or professional judgment.

Accounts and authority

You must provide accurate information, keep your credentials secure, and promptly report suspected unauthorized access. You are responsible for activity performed through your account unless caused by our failure to use reasonable security measures.

If you create or join a workspace for a company or other organization, you represent that you are authorized to use OnHandly for that organization. Workspace owners control membership and access to organization records.

Trials, plans, and billing

Eligible new organizations may receive a 30-day trial with the limits shown at signup. A trial does not require a payment card and may be limited to one trial per user or organization.

Paid plans are purchased and managed through the OnHandly website. Prices, included usage, renewal periods, and cancellation choices are shown before purchase. Unless stated otherwise, subscriptions renew until canceled. Cancellation takes effect according to the terms shown during checkout or in the billing portal.

If a trial or subscription ends, we may place the workspace in read-only mode. You remain responsible for charges incurred before cancellation and applicable taxes.

Customer data

As between you and OnHandly, the organization retains its rights in inventory and business information entered into its workspace. You grant us a limited right to host, process, transmit, back up, and display that information solely to operate, secure, support, and improve the service.

You are responsible for the accuracy, legality, and necessary permissions for information you enter. Do not submit regulated, highly sensitive, or unlawful data that OnHandly is not designed to handle.

Acceptable use

You may not misuse OnHandly, interfere with its operation, bypass plan or security controls, access another organization without permission, probe for vulnerabilities, upload malicious code, reverse engineer protected portions of the service, or use the service in violation of law or another person's rights.

Availability and changes

We work to keep OnHandly reliable, but uninterrupted availability is not guaranteed. Maintenance, internet conditions, third-party services, device limitations, or events outside our control may affect access. Offline features reduce disruption but do not eliminate the need to verify that queued work has synchronized.

We may update features, limits, and interfaces to improve the service or meet security, technical, or legal requirements. We will provide reasonable notice when a material change reduces paid functionality.

Intellectual property

OnHandly, its software, design, documentation, trademarks, and original content are owned by WatchGrid LLC or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service during your authorized access; they do not transfer ownership.

Suspension and termination

You may stop using OnHandly at any time and may initiate deletion from the Account screen of the OnHandly mobile app, or from the account deletion request page in any browser. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or conduct that threatens customers or the service. When practical, we will provide notice and an opportunity to correct the issue.

Sections that should reasonably survive termination—including ownership, payment obligations, disclaimers, and limitations—remain effective.

Disclaimers and liability

To the extent permitted by law, OnHandly is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. You remain responsible for physical inventory controls, purchasing decisions, and backups or exports appropriate to your business.

To the extent permitted by law, WatchGrid LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenue, or lost data. Our aggregate liability arising from the service will not exceed the amount your organization paid for OnHandly during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Changes and contact

We may revise these terms. If a change is material, we will provide reasonable notice before it takes effect. Continued use after the effective date constitutes acceptance of the revised terms.
